1. About these terms

These terms govern your use of moondistributors.co and any supply of goods by Moon Distributors ("we", "us", "our") to you. By using this website you accept them. If you do not, please do not use the site.

2. Business customers only

This is a business-to-business wholesale operation. We supply registered businesses buying goods for resale, and we do not sell to consumers for personal use.

By applying for an account you confirm you are authorized to act for the business named, that the business is properly registered, and that the resale documentation you supply is genuine and current.

3. Accounts

We review every application and may approve or decline it at our discretion. Approval is not automatic and there is no fee to apply.

You must keep your account information accurate and tell us promptly if your business details or resale status change. We may suspend or close an account where information proves inaccurate, where documentation lapses, or where these terms are breached.

4. Product information

We describe products as accurately as we can, using information from manufacturers and suppliers. Packaging, formulation and labelling can change without notice from the manufacturer.

Images are for identification. Where a size or variant matters to you, confirm it on the quote before ordering.

Product listings on this site are an invitation to inquire, not an offer to sell. Nothing here forms a contract until we accept your order in writing.

5. Pricing and quotes

Prices shown on this website are indicative and are for approved business customers. They exclude freight and applicable taxes.

A written quote is the binding statement of price. Each quote states the period for which it holds. Outside that period, pricing is subject to re-quotation.

Where a product shows "Request Pricing", no price is published because our cost moves with sourcing availability. Pricing for those lines is quoted per order.

6. Minimum order quantities

Minimum order quantities are stated on each product and generally follow the manufacturer's case pack. They may change with supply conditions; the quantity on your accepted quote is the one that applies to your order.

7. Orders and acceptance

An order is accepted when we confirm it in writing. We may decline an order, including after a quote has been issued, where stock is no longer available, where a pricing or description error has occurred, or where accepting it would breach a supplier agreement or the law.

Where we decline an order after payment, we refund it in full.

8. Payment

Unless agreed otherwise in writing, orders are payable in full before despatch. Payment terms on established accounts are at our discretion and are confirmed separately in writing.

Title to goods passes to you on receipt of payment in full. Risk passes on delivery.

9. Delivery

Delivery estimates are estimates. We will tell you promptly if a shipment is delayed, but we are not liable for losses arising from delays outside our reasonable control, including carrier delays, severe weather and supplier shortfalls.

Please inspect deliveries on arrival and note any visible damage on the delivery receipt before signing.

10. Shortages, damage and returns

Report shortages or damage within five business days of delivery, with photographs and the delivery paperwork. We will resolve valid claims with a replacement, a credit or a refund.

Goods returned for any other reason require our written authorization in advance and must be unopened, in original sealed packaging and in resaleable condition. A restocking charge may apply. We cannot accept returns of goods that have been opened, relabeled, repackaged or despatched into a third-party fulfillment network.

11. Resale and compliance

You are responsible for ensuring your resale complies with the law and with the rules of any marketplace you sell on. In particular:

• You must not alter, relabel or repackage goods in any way that misrepresents them
• You are responsible for meeting any marketplace listing, brand or category requirements
• You are responsible for sales tax and any other taxes arising on your onward sale
• You must comply with any state-level restrictions applying to regulated products

We do not guarantee that any marketplace will approve you to sell any brand or category. That decision belongs to the marketplace.

12. Intellectual property

The design, text, layout and code of this website belong to Moon Distributors. Product names, brands, logos and packaging shown on this site are the property of their respective owners and appear solely to identify the goods we distribute.

Nothing on this site grants you a license to use any third-party trademark. Your right to reference a brand when reselling goods arises from the sale itself and from applicable law, not from us.

13. Website availability

We aim to keep this site available but do not guarantee uninterrupted access. We may change, suspend or withdraw any part of it without notice.

14. Limitation of liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, our total liability arising out of or in connection with any order is limited to the amount you paid for the goods giving rise to the claim.

We are not liable for indirect or consequential loss, including lost profits, lost sales, loss of marketplace selling privileges, or loss of business opportunity.

15. Confidentiality

Pricing, supplier information and account terms we share with you are confidential and provided for your business use only. You must not publish or share them with third parties without our written consent.

16. Changes to these terms

We may update these terms. The version in force when your order is accepted is the version that applies to it. Changes are published on this page with an updated date.

17. Governing law

These terms are governed by the laws of the State of California, where Moon Distributors is located, and the courts of that state have exclusive jurisdiction over any dispute arising from them.
